The Uniform Franchise Offering Circular (UFOC) is a valuable document for the franchise community because it gives you information on the franchise company not disclosed anywhere else. Information includes franchise fees, royalties and closed units. The UFOC is issued to prospective franchises.
The Federal Trade Commission requires Franchisors in every state to provide a UFOC which conforms to its regulations. In addition, franchise registration is required in some states. This means that the offering must first be approved and registered by the state before it can be promoted to prospective franchise buyers.
The Franchise Agreement forms part of the UFOC and is a legally binding document that spells out the rights and obligations of the Franchisor and the Franchisee.
Franchisors can use the UFOC as a tool for competitive research and to identify areas of improvement by benchmarking against their best competitors. Franchisees can compare their businesses with other similar concepts. Potential Franchisees can obtain all the essential information about their targeted franchises before investing their time and money.
